SPHEREMAIL, INC. - PARTNER AGREEMENT
AND
TERMS OF SERVICE
These Sphere Mail Partner Agreement and Terms and Conditions (the “Terms of Service”) are a contract between you and SphereMail, Inc and its affiliates (collectively, “Sphere Mail”), and apply to your use of the Sphere Mail paid Services (as defined below). BY SIGNING BELOW, YOU ARE ACCEPTING THE TERMS OF SERVICE AND AGREE TO BE LEGALLY BOUND BY ALL OF THE TERMS BELOW. Sphere Mail reserves the right, in its discretion, to change or modify all or any part of the Terms of Service at any time, effective immediately upon notice published at http://spheremail.co (the “Site”) and indicating the date of last revision at the top. Sphere Mail may, but is not obligated to, provide you with other forms of notice of such changes. However, you waive any right to specific notice of such changes, and your continued use of the Service following the posting of the changes or other notification constitute your acceptance of such changes or modifications. Therefore, you should frequently review the Terms of Service and applicable policies to understand the terms and conditions that apply to your use of the Services. If you do not agree to the amended terms, you must cancel your Services and stop using the Services.

DESCRIPTION OF SERVICES.
Sphere Mail provides businesses with access to a rich collection of resources, including without limitation, mail tracking and management web and mobile application Virtual Office (the “Business Services”) lets businesses post and upload their subscriber’s incoming mail, scanning services and mail handling in addition to unique content (the “Services”). You also understand and agree that the Services may include certain communications from Sphere Mail, such as service announcements, administrative messages and the newsletters, and that these communications are considered part of the Sphere Mail agreement and you will not be able to opt out of receiving them. Unless explicitly stated otherwise, any new features that augment or enhance the current Services, including the release of new Sphere Mail properties, shall be subject to the Terms of Service. You are solely responsible for obtaining access to the Services, including, but not limited to all equipment necessary to access the Services. You understand that the technical processing and transmission of the Services, including your messages and other communications, may involve (a) transmissions over various networks.

YOUR REGISTRATION OBLIGATIONS.
a) You will provide (i) accurate, current and complete information about your business as requested by Sphere Mail (“Registration Data”); (ii) maintain and promptly update the Registration Data and any other information you provide to Sphere Mail, to keep such information accurate, current and complete; (iii) accept all risks of unauthorized access to the Registration Data and other information you provide to Sphere Mail; and (iv) be fully responsible for all use of your account and for any actions that take place through your account.
b) You will be asked to create an account with Sphere Mail when you purchase the Services and you acknowledge and agree that you will be solely responsible for the security of your user name and password. You are entirely responsible for maintaining the confidentiality of your password, and you agree to maintain the security of your password. You agree not to use the account, username, or password of another Sphere Mail user at any time, and agree to notify Sphere Mail immediately if you suspect any unauthorized use of your account or access to your password. You are solely responsible for any and all use of your account.
c) To ensure Sphere Mail can provide high-quality services that are responsive to your needs, you understand that Sphere Mail representatives or other parties will have access to your account and usage information and may review and use such account and usage information as it determines appropriate in its sole discretion, including without limitation as reasonably needed to investigate complaints, to provide the Services to you, or for such other purposes as contemplated in Sphere Mail’s Privacy Policy (located at https://Sphere Mail/pages/privacy-policy)

SUBSCRIPTION DETAILS.
a) You are entirely responsible to register your business with The United States Postal Service as a Commercial Mail Receiving Agency (CMRA) and verifying Subscribers’ information according to The United States Postal Service rules and regulations or your country’s equivalent if your business operates outside of the United States.
b) You are entirely responsible for ensuring that the mailboxes you provide or locked mail room through the Service does not violate any space or building leases and policies and you shall indemnify Sphere Mail against any fines, loss of mail or other liability arising from such violations.
c) You are entirely responsible for ensuring a separate written agreement is executed between you and your subscribers in regards to how the mail handled, stored scanned and forwarded.
d) You are entirely responsible for ensuring your subscribers’ privacy and mail security, that a physical space is available to your subscribers for mail pick-up during your set business hours and is in sound and safe condition and free of any known conditions or defects that would pose a hazard to or risk the safety of any of your subscribers.
e) You and your subscribers may submit feedback to the Service. You acknowledge and agree that your subscribers may publicly post reviews of your business and that Sphere Mail may, but is not obligated to, monitor such postings. Sphere Mail is not responsible in any manner for such reviews, and you hereby release Sphere Mail from any and all claims, causes of actions, obligations or liabilities arising from or relating to such reviews.
Sphere Mail takes reasonable precautions to protect all Non-Public Information received in connection with any of Sphere Mail’s services. Your account information is located on a secured server behind a firewall. Because email and instant messaging are not secure communications, we cannot guarantee the security of any private information sent to us by email or instant messaging services.
You acknowledge that the Service is a web or mobile platform only. Your transactions, communications and interactions with your subscribers, including transactions, communications and interactions initiated through the Service, are between you and your subscribers, and you are entirely responsible for such transactions, communications and interactions. You acknowledge that Sphere Mail does not offer mail service or act as an agent for your business. Sphere Mail provides the Service that allows you to transact and communicate directly with your subscribers. Sphere Mail has no obligation, to monitor disputes between you and your subscribers relating to the Service.
Sphere Mail is not responsible or liable in any manner for any loss or damage arising out of your transactions, communications and interactions with any other Users and you hereby release Sphere Mail from any and all claims, causes of actions, obligations or liabilities arising from or relating to such transactions, communications and interactions.

PAYMENT TERMS.
You will not be charged for your business access to Sphere Mail’s web or Mobile application. You may establish the subscription fees and plans for your subscribers (the “Service Fees”).
Sphere Mail will collect the Service Fees for the Services directly from your subscribers. You are entirely responsible for ensuring that your subscribers (i) pay all Service Fees in U.S. Dollars and understand that Service Fees are non-refundable, (ii) provide Sphere Mail with a valid credit card or other payment method approved by Sphere Mail, and authorize Sphere Mail to automatically charge the Service Fees in advance, or as otherwise agreed in writing between you and Sphere Mail, until their subscription for the Services is cancelled or otherwise terminated.
In the event that the Service Fees are not paid on a timely basis, including without limitation due to an invalid or expired credit card number, you agree to make reasonable efforts to assist Sphere Mail’s collection of the Service Fees from your defaulting subscriber. Sphere Mail may, in addition to any other available remedies, suspend or terminate the defaulting subscriber’s use of the Services, and any unpaid amounts will bear interest at a rate of FIFTEEN percent (15%) per month (or the highest rate permitted by law, if less). To the fullest extent permitted by law, refunds (if any) are at the sole discretion of Sphere Mail and nothing in these Terms of Service obligate Sphere Mail to extend credit to any party.
Sphere Mail shall send you a payment check or direct deposit to you bank account, in U.S. Funds, and a receipt detailing the monthly usage of the Services by your subscribers 45 days after the month ending billing cycle. The payment check will be calculated by multiplying your business’s paying subscribers x 83% of each subscriber’s monthly fees for the Services. To the fullest extent permitted by law, you and your subscribers waive all claims relating to charges and Service Fees unless claimed within 30 days after the charge (without prejudice to your subscriber’s credit card issuer rights).
You agree to pay Sphere Mail a monthly fee for processing of your subscriber’s Service Fees (the “Processing Fee”). SphereMail will charge you a monthly 25% Processing Fee.
To ensure proper payment, you are entirely responsible for maintaining accurate contact and payment information associated with your account, which includes, without limitation, applicable tax information. In addition, you shall keep complete and accurate records regarding payment by your subscribers. Sphere Mail may audit such records to confirm proper payment hereunder and otherwise confirm compliance with these Terms of Service.

PHONE AND PHONE USAGE CHARGES
a) Sphere Mail shall deduct $5 (local number) or $6.50 (toll free) plus 25% for every phone purchased by your subscribers. Charges are only take effect after a phone number is purchased.
b) Sphere Mail shall deduct $0.04/minute (local number) or $0.06/minute (toll free number) plus 25% for all incoming and out going calls made by your subscribers.

TRADEMARKS.
You agree that all of Sphere Mail’s trademarks, trade names, service marks and other Sphere Mail logos and brand features, and product and service names are trademarks and the property of Sphere Mail (the “Sphere Mail Marks”). Without Sphere Mail’s prior written permission, you agree not to display or use in any manner the Sphere Mail Marks.

REPRESENTATIONS AND WARRANTIES.
You represent and warrant that you are entirely responsible for any content that you upload, post, email, transmit or otherwise make available to your subscribers in connection with their use of the Services (the “Subscriber Content”). Sphere Mail does not control the Subscriber Content and, as such, does not guarantee the accuracy, integrity or quality of the Subscriber Content. You understand that by subscribing to the Business Services, you must evaluate and bear all risks associated with the Business Services, and may be exposed to Subscriber Content that is offensive, indecent or objectionable. Under no circumstances will Sphere Mail be liable in any way for any Subscriber Content, including, but not limited to, any errors or omissions in any Subscriber Content, or any loss or damage of any kind incurred as a result of the use of any Subscriber Content posted, emailed, transmitted or otherwise made available via the Services.
You represent and warrant that you will (i) not use the Business Services and (ii) be entirely responsible to ensure that your subscribers do not use the Sphere Mail Services to:
(a) upload, post, email, transmit or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, pornographic, indecent, lewd, sexually suggestive, inflammatory, libelous, invasive of another’s privacy, hateful, or racially, ethnically or otherwise objectionable;
(b) harm minors in any way;
(c) impersonate any person or entity, including, but not limited to, an Sphere Mail employee, forum leader, guide or host, or falsely state or otherwise misrepresent your affiliation with a person or entity;
(d) forge headers or otherwise manipulate identifiers in order to disguise the origin of any content transmitted through the Sphere Mail Service;
(e) upload, post, email, transmit or otherwise make available any content that You do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
(f) upload, post, email, transmit or otherwise make available any content that infringes any privacy, publicity, copyright or other intellectual proprietary rights (“Rights”) of any party with out the permission of the owner of these rights and the persons (or their parents or legal guardians, where applicable) who are shown in the material, if applicable;
(g) upload, post, email, transmit or otherwise make available any unsolicited or unauthorized advertising, promotional materials, “junk mail,” “spam,” “chain letters,” “pyramid schemes,” or any other form of solicitation;
(h) upload, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
(i) disrupt the normal flow of dialogue, cause a screen to “scroll” faster than other users of the Sphere Mail Services are able to type, or otherwise act in a manner that negatively affects other users’ ability to engage in real time exchanges;
(j) interfere with or disrupt the Sphere Mail Services or servers or networks connected to the Sphere Mail Services, or disobey any requirements, procedures, policies or regulations of networks connected to the Sphere Mail Services, including using any device, software or routine to bypass our robot exclusion headers;
(k) intentionally or unintentionally violate any applicable local, state, national or international law, including, but not limited to, regulations promulgated by the U.S. Securities and Exchange Commission, any rules of any national or other securities exchange, including, without limitation, the New York Stock Exchange, the American Stock Exchange or the NASDAQ, and any regulations having the force of law;
(l) provide material support or resources (or to conceal or disguise the nature, location, source, or ownership of material support or resources) to any organization(s) designated by the United States government as a foreign terrorist organization pursuant to 8 U.S.C. §1189(a)(4
(m) “stalk” or otherwise harass another; and/or
(n) collect or store personal data about other users in connection with the prohibited conduct and activities set forth in paragraphs a through m above.

SPECIAL ADMONITIONS FOR INTERNATIONAL USE AND EXPORT AND IMPORT COMPLIANCE.
Recognizing the global nature of the Internet, You agree to comply with all local rules regarding online conduct and acceptable Content. Use of the Sphere Mail Services and transfer, posting and uploading of software, technology, and other technical data via the Sphere Mail Services may be subject to the export and import laws of the United States and other countries. You agree to comply with all applicable export and import laws and regulations. In particular, You: (a) represent that You are not a party identified on any government export exclusion list, including but not limited to the U.S. Denied Persons, Entity, and Specially Designated Nationals Lists, nor will You transfer software, technology, and other technical data via the Sphere Mail Services to parties identified on such lists; (b) agree not to use the Sphere Mail Services for military, nuclear, missile, chemical or biological weaponry end uses in violation of U.S. export laws; (c) agree not to transfer, upload, or post via the Sphere Mail Services any software, technology or other technical data in violation of U.S. or other applicable export or import laws.

LIMITED LICENSE.
All content on the Site and otherwise available through the Service, including designs, text, graphics, images, video, information, software, audio and other files, and their selection and arrangement (the “Site Content”), are the proprietary property of Sphere Mail, its users or its licensors. No Site Content may be modified, copied, distributed, framed, reproduced, republished, downloaded, scraped, displayed, posted, used to create derivative works, performed, reverse engineered, transmitted, transferred or sold in any form or by any means, in whole or in part, other than as expressly permitted in these Terms of Service.

INDEMNITY.
You agree, at your sole expense, to indemnify, defend and hold harmless Sphere Mail and its affiliates, and their respective directors, officers, employees, shareholders, agents, licensors and assigns to the Services (collectively, the “Indemnified Parties”) from and against any and all claims, demands, liabilities, losses, costs and expenses (including, but not limited to, reasonable legal fees and costs) resulting from (i) any activity related to access to or use or alleged use of the Site or the Services by you or any person accessing the Site or Services through you, whether or not authorized by You; (ii) Your connection to the Sphere Mail Services; (iii) any violation of these Terms of Service, including, without limitation, a breach of your representations and warranties,; or (iv) your violation or infringement of any third party’s intellectual property or other rights. The obligations under this Section 18 shall survive expiration or earlier termination of this Agreement.
You must (i) give prompt notice of the claim to Sphere Mail once you become aware of any claim, (ii) grant sole control of the defense and settlement of the claim to the Indemnified Parties; and (iii) provide reasonable cooperation to the Indemnified Parties and at your request and expense, assistance in the defense or settlement of the claim.

TERM AND TERMINATION.
These Terms of Service are effective until terminated. Either party may terminate this Agreement for any reason by giving the other party thirty (30) days notice by e-mail at the last known email address. You and your participant’s will no longer have access to any Sphere Mail’s Site and Services, including any content therein, after the effective date of the termination of your account.
Either party may terminate these Terms of Service upon written notice effective immediately upon being sent to the last address included on the Site (for Sphere Mail) or in the Registration Data (for You), if the other party (i) liquidates all or substantially all of its assets, dissolves as a corporation other than through inadvertence, or otherwise ceases to do business in a material way, (ii) makes an assignment for the benefit of creditors, (iii) files a petition in bankruptcy, petitions or applies for a receiver or trustee for all or any substantial part of its property and such receiver or trustee is appointed, or commences, or has commenced against it, a proceeding under any bankruptcy, reorganization, readjustment of debt, dissolution, or liquidation law or statute of any jurisdiction, any of which shall remain in force for a period of thirty (30) days or more, (iv) is adjudicated insolvent or bankrupt, or (v) is in breach of the Terms of Service.

DISCLAIMER OF WARRANTIES.
THE SITE AND THE SPHERE MAIL SERVICES ARE PROVIDED ON AN “AS IS” BASIS, WITHOUT REPRESENTATION, WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESS OR IMPLIED. YOU EXPRESSLY AGREE THAT USE OF THE SITE AND SERVICES, INCLUDING ALL CONTENT OR DATA DISTRIBUTED BY, DOWNLOADED OR ACCESSED FROM OR THROUGHT HE SITE OR THE SERVICES, IS AT YOUR SOLE RISK. SITEWITH.IT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT AS TO THE INFORMATION, MATERIALS, AND CONTENT ACCESSIBLE ON THE SITE OR THROUGH THE SERVICES. SPHERE MAIL DOES NOT PRESENT OR WARRANT THAT MATERIUALS ON THE SITE OR ACCESIBLE THROUGH THE SERVICE ARE ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR-FREE. SPHERE MAIL IS NOT RESPONSIBLE FOR TYPOGRAPHICAL ERRORS OR OMISSIONS RELATING TO PRICING AND TEXT.

LIMITATION OF LIABILITY.
YOU ASSUME ALL RESPONSIBILITY AND RISK FOR USE OF THE SITE, THE MOBILE APPLICATION AND THE SPHERE MAIL SERVICE INCLUDING, WITHOUT LIMITATION, FOR ANY OF THE CONTENT DOWNLOADED FROM YOUR ACCOUNT.
IN NO EVENT SHALL SPHERE MAIL OR ANY OF ITS DIRECTORS, OFFICERS, EMPLOYEES, SHAREHOLDERS, PARTNERS, AGENTS OR LICENSEES BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING DAMAGES FOR LOSS OF PROFITS, INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) IN CONNECTION WITH ANY CLAIM, LOSS, DAMAGE, ACTION, SUIT OR OTHER PROCEEDING ARISING UNDER OR OUT OF THESE TERMS OF SERVICE INCLUDING WITHOUT LIMITATION THE USE OF, RELIANCE UPON, ACCESS TO, OR EXPLOITATION OF THE SITE, THE SPHERE MAIL SERVICES, THE CONTENT OR ANY PART THEREOF, OR ANY RIGHTS GRANTED TO YOU HEREUNDER, EVEN IF SPHERE MAIL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, WHETHER THE ACTION IS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OR OTHERWISE.
IN ANY EVENT, SPHERE MAIL’S TOTAL MAXIMUM AGGREGATE LIABILITY UNDER THESE TERMS OF SERVICE OR IN RESPECT OF THE USE OR EXPLOITATION OF ANY OR ALL PART OF THE SITE, THE SPHERE MAIL SERVICES, OR THE CONTENT IN ANY MANNER WHATSOEVER SHALL BE LIMITED TO THE FEES COLLECTED BY Sphere Mail FOR THE CONTENT THAT IS THE SUBJECT MATTER OF THE CLAIM, BUT IN ANY EVENT WILL NOT EXCEED TEN ($10.00) UNITED STATES DOLLARS.
SOME JURISDICTIONS DO NOT ALLOW FOR THE LIMITATION OR EXCLUSION OF LIABILITY, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, THE LIABILITY OF SPHERE MAIL OR ANY OF ITS DIRECTORS, OFFICERS, EMPLOYEES, SHAREHOLDERS, PARTNERS, AGENTS OR LICENSEES SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

APPLICABLE LAW; NOTICE; WAIVER OF JURY TRIAL AND CLASS ACTION SUITS; DISPUTE RESOLUTION.
These Terms of Service shall be governed by the laws of the State of California, without regard to its conflicts of law provisions to the contrary. Sphere Mail’s failure to exercise or enforce any right or provision of the Subscription terms will not be deemed to be a waiver of such right or provision. You hereby irrevocably submit to the exclusive jurisdiction of the Courts of the State of California with respect to the subject matter of these Terms of Service. The United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded, will not govern these Terms of Service.
If any provision of these Terms of Service is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms of Service remain in full force and effect. You agree that regardless of any statue or law to the contrary, any claim or cause of action arising out of or related to the use of the Site and Services must be filed within one (1) year after such claim or cause of action arose or be forever barred.
YOU AGREE TO WAIVE ANY RIGHT YOU MAY HAVE TO (i) TRIAL BY JURY; AND (ii) TO COMMENCE OR PARTICIPATE IN ANY CLASS ACTION AGAINST Sphere Mail, THE SITE, THE SPHERE MAIL SERVICE, THESE TERMS OF SERVICE, OR ANY AGREEMENTS CONTEMPLATED HEREBY.
Any controversy or claim arising out of, under or in connection with these Terms of Service, including without limitation, its validity, interpretation, performance and breach, shall be settled by binding arbitration pursuant to the commercial arbitration rules of the American Arbitration Association. Any such controversy or claim must be arbitrated on an individual basis, and must not be consolidated in any arbitration with any claim or controversy or any other party. The arbitration must be conducted in San Francisco, California, and judgment on the arbitration award may be entered into any court having jurisdiction thereof. Either Sphere Mail or you may seek any interim or preliminary relief from a court of competent jurisdiction in San Francisco, California, as necessary to protect the rights or property of you or Sphere Mail.
If Sphere Mail is obligated to go to court or arbitration to enforce any of its rights, or to collect any fees, you agree to reimburse Sphere Mail for its legal fees, costs and disbursements if Sphere Mail is successful.

GENERAL.
(a) Nothing contained in these Terms of Service shall, or shall be deemed to, place the Parties in a relationship of partners or joint venture; and neither Party shall have the authority to obligate or bind the other Party in any manner whatsoever.
(b) You agree that, except as otherwise expressly provided in the Terms of Service, there shall be no third-party beneficiaries to the Terms of Service.
c) Neither Party shall be liable hereunder by reason of any failure or delay in the performance of its obligations hereunder on account of strikes, riots, insurrection, fires, flood, storm, explosions, acts of God, war, governmental action, labor conditions, earthquakes, or any other causes that are beyond the reasonable control of such Party.
(d) The section titles in the Terms of Service are for convenience only and have no legal or contractual effect.
(e) The Parties have requested that these Terms of Service and all related documents be drawn up in English.

MISCELLANEOUS.
These Terms of Service and the Privacy Policy constitute the entire agreement between you and Sphere Mail regarding the use of the Service and supersede any prior agreements between you and Sphere Mail relating to your use of the Service. The failure of Sphere Mail to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision in that or any other instance. If any provision of these Terms of Service is determined to be unlawful, void or for any reason unenforceable, such determination shall not affect the validity and enforceability of any of the remaining provisions.
If You are a California resident or your business is registered in California, by singing below, you waive California Civil Code Section 1542, which says: “A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which, if known by him must have materially affected his settlement with the debtor.”

If you reside outside the U.S. your personally identifiable information will be transferred to the U.S., and processed and stored there under U.S. privacy standards.
